NCLT approves merger of six subsidiaries with DLF Home Developers Ltd, ET LegalWorld

According to an exchange filing, the National Company Law Tribunal (NCLT), Chandigarh Bench has approved the Scheme of Amalgamation involving the merger of 6 (Six) wholly-owned subsidiary companies with DLF Home Developers Limited.

The 6 (Six) wholly-owned subsidiary companies were Chamundeswari Builders Private Limited, DLF Garden City Indore Private Limited, DLF IT Offices Chennai Private Limited, DLF Residential Developers Limited, Latona Builders & Constructions Private Limited and Livana Builders & Developers Private Limited.

In effect, pursuant to the merger order, six wholly-owned subsidiary companies shall stand dissolved once the copy of the order is filed with the concerned Registrar of Companies within thirty days of the receipt of the certified copy of the order.

The amalgamation was done under Section 230-232 and other relevant Companies Act, 2013 provisions.

The disclosure was made under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
