Cyril Amarchand Mangaldas is acting for cloud software firm Amagi Media Labs on its proposed initial public offering,comprising a fresh issue of 1,020 crore and an offer for sale of 34.2 million shares by investors including Norwest Venture Partners, Accel and Premji Invest, all represented by Shardul Amarchand Mangaldas. Trilegal is advising the book running lead managers to the deal.
The BRLMs comprise Kotak Mahindra Capital, Citigroup Global Markets India, Goldman Sachs (India) Securities, IIFL Capital Services, and Avendus Capital.
Individual shareholders, such as Prem Gupta, Rahul Garg, Rajesh Ramaiah, Rajat Garg and Kollengode Ramanathan Lakshminarayana, will also sell part of their stakes through the OFS.
Amagi is a software-as-a-service (SaaS) company that connects media companies to their audiences through cloud-native technology. Its platform helps content providers and distributors upload and deliver video over the internet through smart televisions, smartphones and applications, instead of traditional cable or set-top box services. It also helps monetize such content through targeted advertising services for advertisers. Amagi’s platform integrates production, preparation, distribution and monetization workflows into a single window, allowing customers to reduce complexity, improve operating efficiencies and increase their content revenue.
Amagi Media Labs counts companies such as Lionsgate Studios, Vevo, Sinclair Broadcast Group, E W Scripps, Fox, Stingray, Network18 and Shemaroo among its clients.
