Leading Indian law firm Cyril Amarchand Mangaldas, along with Italian law firm HEUSSEN Studio Legale e Tributario, has advised Lati Industria Termoplastici S.p.A. (‘LATI’), a leading European manufacturer of engineering thermoplastics, on its acquisition of the engineering plastic compounds division of Loxim Industries Limited (‘Loxim’). Crawford Bayley & Co. acted for Loxim and its promoters.
This acquisition was facilitated through Lati-Loxim Thermoplastics Private Limited, a joint venture company established by LATI (51 percent) and key promoters of Loxim (49 percent), with LATI also investing in the joint venture to fund the acquisition.
This strategic joint venture aims to strengthen the presence of both companies in the Indian market for engineering plastics, combining LATI’s technological know-how in high-performance technopolymers with LOXIM’s strong local presence and established position in the automotive and electrical markets across India. The new entity, LATI-LOXIM Thermoplastics Private Limited, will efficiently address the growing demand in the E&E, household appliances, automotive, and e-mobility sectors.
The Cyril Amarchand Mangaldas transaction team was led by partner Alok Sonkar and partner Siddharth Singh (real estate). They were supported by Karishma Jumani, director – corporate transactions, senior associate Utkarsh Mankad and associates Akansha Menghrajani, Khushboo Bapna, Ishita Sharma, Aayush Panwar, and Rushi Panchal.
